1. Introduction and Acceptance

Welcome to Amenly. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Amenly ("we," "our," "us," or the "Company").

By accessing our website (the "Site"), downloading or using our mobile application (the "App"), or using any of our services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our Site, within the App, or by email. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

2. About Amenly

Amenly is a prayer companion application designed to:

  • Guide users in developing a consistent and meaningful prayer life.
  • Provide prayer tracking tools and spiritual growth insights.
  • Offer instruction and encouragement for prayer in various life situations.
  • Help users build and maintain an active relationship with God.

Amenly is a tool for spiritual education and personal growth. It is not a church, ministry, counseling service, or substitute for professional spiritual guidance, pastoral care, or mental health support.

3. Eligibility

To use our Services, you must:

  • Be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher).
  • Have the legal capacity to enter into a binding agreement.
  • Not be prohibited from using the Services under applicable law.

If you are between 16 and 18 years old (or the applicable age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. Account Registration

4.1 Creating an Account

To access certain features of the Services, you may need to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and update your information to keep it accurate.
  • Keep your login credentials secure and confidential.
  • Notify us immediately of any unauthorized use of your account.

4.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.

4.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in harmful behavior, or if required by law. You may also delete your account at any time through the App settings or by contacting us at app.amenly.io@gmail.com.

5. Use of Services

5.1 Permitted Use

You may use the Services for your personal, non-commercial spiritual growth and prayer life. You agree to use the Services in a manner consistent with their intended purpose and in compliance with all applicable laws and regulations.

5.2 Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful, harmful, or fraudulent purpose.
  • Misrepresent your identity or affiliation.
  • Harass, abuse, threaten, or intimidate other users.
  • Upload or share content that is hateful, discriminatory, obscene, defamatory, or promotes violence.
  • Use the Services to promote, endorse, or spread theological teachings that incite hatred, discrimination, or violence against any person or group.
  • Scrape, crawl, or use automated tools to extract data from the Services without our written consent.
  • Attempt to gain unauthorized access to our systems, servers, or other users' accounts.
  • Reverse-engineer, decompile, or disassemble any part of the Services.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use the Services to send spam, unsolicited messages, or promotional material.
  • Reproduce, distribute, or create derivative works based on the Services without our written consent.
  • Use the Services to build a competing product or service.

5.3 Community Standards

Amenly is a space for spiritual growth and respectful engagement. While we welcome users from diverse Christian traditions and denominations, all users are expected to:

  • Treat others with respect, kindness, and dignity.
  • Refrain from judgment, condemnation, or hostility toward others.
  • Respect the privacy and personal prayer content of other users.
  • Engage constructively in any community features.

We reserve the right to remove content and suspend accounts that violate these community standards.

6. Content

6.1 Amenly Content

All content provided through the Services — including but not limited to text, graphics, logos, icons, images, audio, video, prayer guides, devotional material, and software — is owned by or licensed to Amenly and is protected by copyright, trademark, and other intellectual property laws ("Amenly Content").

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Amenly Content without our prior written consent.

6.2 User Content

You retain ownership of any content you create or submit through the Services, including prayer entries, journal notes, and other personal data ("User Content").

By using the Services, you grant Amenly a limited, non-exclusive, royalty-free license to process, store, and display your User Content solely for the purpose of providing and improving the Services. This license terminates when you delete your User Content or your account.

We will never use your User Content — especially prayers and spiritual data — for advertising, marketing to third parties, or any purpose unrelated to providing you with the Services.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us an unrestricted, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Services without obligation to you.

7. Spiritual and Religious Disclaimer

7.1 Nature of Content

Amenly provides prayer guidance, biblical references, and spiritual growth tools based on the Holy Bible. The content provided is for educational and devotional purposes only and reflects general biblical principles.

7.2 Not Professional Advice

The Services do not constitute:

  • Pastoral counseling or spiritual direction.
  • Psychological, psychiatric, or medical advice.
  • Legal, financial, or professional advice of any kind.
  • An official position of any church, denomination, or religious organization.

7.3 Limitations

  • Amenly does not guarantee specific spiritual outcomes, answers to prayer, or results from using the Services.
  • Prayer guidance provided through the Services is general in nature and may not address your specific circumstances.
  • If you are experiencing a mental health crisis, emotional distress, or any emergency, please contact a qualified professional or emergency services immediately.
  • If you need specific pastoral guidance, we encourage you to consult with a trusted pastor, minister, or spiritual advisor in your local community.

7.4 Theological Perspective

Amenly's content is rooted in respect for the Holy Bible. While we strive to be inclusive of various Christian traditions, the content may reflect certain theological perspectives. Users are encouraged to study Scripture independently and seek guidance from their own faith community.

8. Subscriptions and Payments

8.1 Free and Paid Services

Amenly may offer both free and paid subscription plans. Details of available plans, features, and pricing are displayed within the App and on the Site.

8.2 Billing

If you purchase a paid subscription:

  • You authorize us (or our payment processor) to charge your selected payment method on a recurring basis.
  • Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
  • All fees are stated in the currency displayed at the time of purchase.

8.3 Free Trials

We may offer free trial periods. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

8.4 Cancellation

You may cancel your subscription at any time through:

  • The App settings.
  • Your Apple App Store or Google Play Store account settings.
  • Contacting us at app.amenly.io@gmail.com.

Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds will be provided for partial billing periods.

8.5 Refunds

Refund policies are governed by the applicable app store (Apple App Store, Google Play Store) through which you made your purchase. For direct purchases, please contact us at app.amenly.io@gmail.com to discuss your situation.

8.6 Price Changes

We reserve the right to change our subscription prices. We will provide you with at least 30 days' notice before any price increase takes effect. Continued use of paid Services after a price change constitutes your acceptance of the new pricing.

9. Intellectual Property

9.1 Amenly Trademarks

"Amenly," the Amenly logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Amenly or its affiliates. You may not use these marks without our prior written consent.

9.2 Third-Party Content

The Services may contain links to third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party content or services. Your interaction with third-party services is governed by their respective terms and policies.

9.3 Biblical Content

Scripture quotations and biblical references used in the Services are sourced from publicly available translations or used under applicable licenses. Specific translation attributions are provided within the App where applicable.

10. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data — including sensitive religious data — is governed by our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.
  • ANY DEFECTS IN THE SERVICES WILL BE CORRECTED.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMENLY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
  • DAMAGES ARISING FROM ANY CONTENT OBTAINED FROM THE SERVICES.
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Amenly, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any User Content you submit through the Services.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of laws provisions.

14.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved as follows:

  1. Informal Resolution: you and Amenly will first attempt to resolve any dispute informally by contacting us at app.amenly.io@gmail.com. We will make good-faith efforts to resolve the matter within 30 days.
  2. Mediation: if informal resolution fails, either party may initiate mediation under the rules of a mutually agreed-upon mediation provider.
  3. Arbitration or Litigation: if mediation fails, disputes shall be resolved by binding arbitration or in the applicable courts, at the election of the claimant.

14.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exception for EU/EEA Users

If you are a consumer in the European Union or European Economic Area, nothing in this section limits your right to bring proceedings in the courts of your country of residence, or to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr .

15. Termination

15.1 Termination by You

You may stop using the Services and close your account at any time.

15.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms.
  • Conduct that we determine is harmful to other users, us, or third parties.
  • Extended periods of inactivity.
  • As required by law.

15.3 Effect of Termination

Upon termination:

  • Your right to access and use the Services will cease immediately.
  • We will delete your personal data in accordance with our Privacy Policy, subject to any legal retention obligations.
  • Provisions of these Terms that by their nature should survive termination (including Sections 6, 11, 12, 13, and 14) will remain in effect.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Amenly regarding the Services.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of the internet or telecommunications infrastructure.

19. Language
